After you form

  1. Get the free EIN from the IRS, then open a business bank account so company and personal money stay separate.
  2. Stay compliant: the annual report costs $18 — diary the due date before you form.
  • Employer Identification Number (EIN) — free from the IRS; a federal step that is the same in every state.

Documents you need

  • Certificate of Organization — Filed with the Division of Corporations and Commercial Code (online via businessregistration.utah.gov using a UtahID, or by paper). States the LLC name (which must contain 'limited liability company', 'limited company', 'LLC' or an accepted abbreviation, per Utah Code § 48-3a-108), the registered agent, and the organizer's name and signature. Names and addresses of members/managers are optional at formation, but at least one member, manager or other governing person must be provided in the annual report.
  • Registered agent in Utah — Utah Code § 48-3a-111: each limited liability company shall designate (in accordance with § 16-17-203(1)) and maintain a registered agent in Utah. Per the Division's Certificate of Organization instructions, a Utah street address is required; the agent may be a commercial registered agent or a noncommercial registered agent (an individual, or a business entity registered with the Division and in good standing), and a company cannot serve as its own registered agent.
  • Operating agreement (written agreement among the members) — The Division describes a domestic LLC as formed through a special written agreement that details the organization of the LLC, including provisions for management, assignability of interests, and distribution of profits or losses. The agreement is not filed with the Division; formation is effected by the Certificate of Organization.

What you can do with this tool

How it works

Every figure comes from the state's own published fee schedule or statute (the page lists its official sources) and was checked on 3 November 2026. The first-year minimum is the cheapest filing channel plus the fixed mandatory charges that fall due in year one; annual report fees fall due after year one, and variable charges such as newspaper publication have no fixed amount, so both are shown separately rather than folded into the total.
